Tata Motors takes control of Iveco as its €3.4 billion offer turns unconditional

Shareholders tendered 87.81% of Iveco’s capital. Tata’s commercial vehicle arm will hold about 89.42% net of treasury shares when it pays on 30 October.

Tata Motors now controls one of Europe’s best-known truck makers. Iveco Group said on Tuesday that the Tata takeover offer had become fully effective and unconditional. Shareholders tendered 238,157,212 shares. That is about 87.81% of Iveco’s share capital. Net of treasury shares the Tata vehicle will hold about 89.42% when it pays on 30 October.

The price is €14.40 a share. That is the initial €14.10 plus a €0.30 cash top-up announced on 9 October. Total consideration for the tendered shares is about €3.43 billion. The offer was made through TML CV Holdings, a wholly owned Tata Motors subsidiary. Iveco shareholders had earlier cut the minimum acceptance level from 95% to 80%.

The offer reopens for five trading days from 2 to 6 November, with payment on 13 November. Iveco’s filing sets out what follows. Above 90% Tata will start a purchase procedure under Italian law. At 95% it will move to a Dutch squeeze-out. If neither level is reached it plans to delist through a demerger and liquidation that shareholders approved on 16 October. GlobalData estimates the combined commercial vehicle business at about €22 billion in annual revenue.

This is make for the world through ownership. An Indian truck maker now has European plants, brands and dealers alongside its home base. GlobalData sees little overlap in products or factories. That leaves room to share platforms, electric drivetrains and engineering in both directions. The deal was agreed in July 2025. The work now is integration, which is where cross-border deals are won or lost. Credit goes to the Tata Motors deal team and the Iveco board who carried it through.

What a founder takes from it: Indian manufacturers are now buying scale abroad, not only selling to it. Founders in auto components, EV systems and engineering services should read a Tata-owned Iveco as a new customer with European volume.
